Licence, versions, updates, upgrades and refunds
These terms apply to paid UTUVO software and any Bundle that expressly refers to them.

1. Perpetual licence
A paid licence is perpetual. It does not expire with time and has no recurring charge.
The licence covers the product major version purchased and every public release within that major version. Bug fixes, security updates, macOS compatibility updates and any features we choose to release within that major version are included at no additional charge.
At least one of the order confirmation, receipt, licence record or app will identify the purchased product, major version and licensed device count so you can confirm the scope of your licence.
2. Major versions
A major version is a new generation released under a new first version number, for example 1.x to 2.x, and expressly announced by us as a new major version. UTUVO’s first paid public version will be 1.0.0 or a later 1.x release. Beta and other 0.x releases will not be sold as the first paid major version.
We will not relabel ordinary bug fixes, compatibility updates, security updates or updates that reasonably belong within an existing major version merely to charge an upgrade fee.
3. Future major versions and paid upgrades
A future major version may be offered as a separate paid upgrade or may be free. Whether it is paid and its price will be announced before that major version is available to purchase.
A paid upgrade is optional and is a one-time purchase. It will not be charged automatically and will not convert an existing perpetual licence into a subscription. We do not promise a release schedule or undertake to develop or publish a future major version.
If you buy the preceding major version within 30 calendar days before a new major version becomes available to purchase, you receive that new major version at no charge. Eligibility is automatic; if the upgrade does not appear when the new version is released, contact [email protected].
A Bundle has no separate major version. Major versions and upgrade eligibility are calculated separately for each included product, using the Bundle purchase date for the 30-day eligibility window. If a Bundle expressly includes an unreleased product, it includes that product’s first paid major version when released; later major versions follow this general upgrade policy.
4. If you do not upgrade
You may choose not to buy a new major version. Your existing licence remains valid, its included rights do not shrink, and you may continue using the purchased version indefinitely.
We do not guarantee that an older version replaced by a new major version will remain compatible with future macOS releases, future Mac hardware or third-party hardware and software. A compatibility limit caused by those changes does not mean that a perpetual licence has expired or become invalid.
5. Activation and licence verification
Software may require initial activation and may verify the licence periodically. Verification is limited to authenticity, licensed device count and confirmed refunded, revoked or invalid licences.
A network interruption, unavailable verification service, third-party failure, server configuration error or indeterminate result does not make a lawfully activated paid licence expire, become invalid or stop working. Only an explicit confirmation that a licence was refunded, revoked or is invalid can deactivate it.
After successful activation, you may continue using the paid software offline on that activated device. The software may retry verification and ask you to connect after a long interruption, but it must not restrict or stop activated paid features merely because it cannot connect or complete verification.
This does not prevent the software from rejecting forged, altered, copied or device-mismatched licence data. A network or service failure alone is not evidence of any of those conditions.
6. If the verification service ends
If we permanently end the licence verification service, or it will no longer support a sold product, we will provide lawful perpetual-licence holders with a way to use the product without that service before it ends.
If a third-party service ends without notice or another cause outside our control prevents advance delivery, already activated paid versions will continue to work. We will provide a substitute as soon as reasonably practicable.
The substitute may be a final unlocked build, permanent offline certificate, offline activation tool or another mechanism with the same effect, at no additional charge. Within the licensed device count it will support continued use, reinstallation and activation on a replacement compatible Mac.
This protection does not promise that an old version will remain compatible with future macOS, hardware or third-party technology.
7. Free trial and refunds
Paid UTUVO software includes a 30-day full-feature free trial for evaluation before purchase. A separate 14-calendar-day no-reason refund period begins on the purchase date; trial days do not reduce that refund period.
Request within 14 days for a full refund without giving a reason. Email [email protected] or use the refund route in your order confirmation. The associated licence is deactivated when the refund is completed.
After 14 days, we generally do not refund a simple change of mind. This does not apply to duplicate purchases or charges, unauthorized transactions, a licence that cannot be activated, software that does not conform to the contract, or refunds and other remedies required by applicable law.
8. Statutory updates and user rights
These terms do not exclude, restrict or replace rights that cannot be waived under the law where you live, including necessary updates, security fixes or other remedies required to keep software in conformity with the contract.
If these terms conflict with a mandatory rule of applicable law, that rule prevails.
9. Effective date, version history and existing licences
The licence, upgrade and refund policy in effect when you purchase forms part of that purchase.
We may update these terms, but a later revision will not retroactively reduce a purchased perpetual licence, included same-major updates, an earned free-upgrade entitlement or the verification-service protection in section 6. A later policy that is more favourable may be applied to existing users.
Each version shows its version number and effective date. Previous versions remain available so you can identify the terms that applied when you purchased.
